Please read these Terms of Service carefully before using Herentia, operated by Axentia Automation. By accessing or using our service, you agree to be bound by these terms.
Acceptance of Terms
By creating an account, accessing, or using Herentia (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.
We reserve the right to update these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.
Description of Service
Herentia is a digital legacy vault service that allows you to securely store encrypted information (passwords, financial account details, documents, personal messages, and other sensitive data) and designate beneficiaries who will receive specific information through our automated check-in and release system.
The Service includes: an encrypted vault for storing sensitive information, a beneficiary management system, an automated check-in and release mechanism, subscription management, and related features as described on our website.
Important Notice
Herentia is NOT a legal will, testament, or estate planning instrument. The Service is a secure digital information delivery system. It does not replace professional legal advice or legally binding estate documents. We strongly recommend consulting with a qualified attorney for your estate planning needs.
Account Registration and Security
To use Herentia, you must create an account. You agree to the following:
- Provide accurate, current, and complete information during registration and keep it updated
- You are solely responsible for maintaining the confidentiality of your master password. Due to our zero-knowledge encryption, we cannot recover your master password or your data if you lose it
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorized use of your account or any other security breach
Subscription and Billing
Herentia offers subscription-based plans (Starter, Pro, and Family) with monthly and annual billing options. All plans include a 3-month free trial. No credit card is required to start a trial.
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the applicable subscription fee at the beginning of each billing period.
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to limited functionality.
We reserve the right to modify our pricing with 30 days' advance notice. Price changes will not affect your current billing period but will apply to subsequent renewals.
User Responsibilities
As a user of Herentia, you agree to:
- Provide accurate information about yourself and your beneficiaries, including valid email addresses for beneficiary notifications
- Safeguard your master password and understand that losing it means permanent loss of access to your encrypted data
- Respond to check-in prompts according to your configured schedule, or accept that failure to respond will trigger the release protocol to your designated beneficiaries
- Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
- Not attempt to reverse-engineer, decompile, or otherwise attempt to discover the source code or algorithms of the Service
Intellectual Property
The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is owned by Axentia Automation and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain full ownership of all content you store in your vault. We do not claim any rights to your encrypted data. Due to our zero-knowledge architecture, we are technically unable to access your content.
Limitation of Liability
To the maximum extent permitted by applicable law, Axentia Automation and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of the Service.
Our total cumulative liability for any claims arising from or related to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.
We are not responsible for any loss resulting from: your failure to maintain the security of your master password, your failure to respond to check-in prompts, inaccurate beneficiary information you provided, or data loss due to circumstances beyond our reasonable control.
Disclaimer
Not a Legal Document
Herentia is a technology service for secure digital information storage and delivery. It is NOT a legal will, testament, trust, or estate planning instrument. Information stored in and delivered through Herentia does not have legal force as a testamentary document.
Inheritance Law and Judicial Processes
Herentia delivers digital information (passwords, document locations, personal messages, instructions), but does NOT legally transfer ownership of assets. The legal transmission of real estate, bank accounts, investments, stocks, vehicles, crypto assets, and any other property still requires the formal legal procedures of each jurisdiction (notarized will, probate, trust, deed before notary, etc.). Judicial or notarial inheritance proceedings can invalidate, modify, or override assignments made through non-legal means.
Forced Heirs and Legal Rights
The laws of many countries grant forced rights to spouses, children, and other family members (legítima, community property, alimony, etc.) that prevail over any assignment made through Herentia. Beneficiary designations on the platform do NOT replace these legal rights and may be challenged, reduced, or invalidated by a judge in a probate proceeding.
Recommendation: Complement Herentia with Legal Counsel
We strongly recommend that users complement Herentia with a valid notarized will, professional legal counsel, and the formal estate planning instruments applicable in their jurisdiction. Herentia functions as a practical information bridge so that your loved ones know WHAT you have and WHERE to find it, but the legal transmission of your estate requires formal documents prepared by an attorney or notary.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy or completeness of any information provided through the Service. We also do not warrant that actions taken by third parties based on information delivered by Herentia will have legal validity in any jurisdiction.
Axentia Automation does not provide legal, tax, financial, or testamentary advice. Any information provided through the Service is solely of a technological and informational nature. For legal matters related to inheritance, estate planning, or property rights, consult a qualified attorney or notary in your jurisdiction.
Termination
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at contacto@axentia.com.mx.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees, or if we are required to do so by law. We will provide reasonable notice where possible.
Upon termination, your access to the Service will cease immediately. Your encrypted data will be retained for 30 days to allow reactivation, after which it will be permanently deleted. Any pending releases will be cancelled upon account deletion.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Mexico, without regard to conflict of law principles. Any legal disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts located in Mexico.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
